1. Acceptance of Terms
By accessing or using the NEOM Pay platform ("Platform"), operated from Prime Tower, Burj Khalifa Blvd, Business Bay, Dubai, UAE, you agree to be bound by these Terms of Service. If you do not agree, you must not use the Platform.
2. Eligibility
The Platform is intended for accredited and institutional investors aged 18 or above. By using the Platform, you represent that you meet applicable jurisdictional requirements for participation in private investment opportunities.
3. Nature of the Offering
NEOM Pay facilitates access to an asset-backed, Shariah-compliant impact fund focused on trade corridors across South and Southeast Asia. All capital is deployed without leverage and tied to physical commodities. Past performance is not indicative of future results, and the projected 8% net annual yield is a target, not a guarantee.
4. Investor Obligations
You agree to (a) provide accurate information during onboarding, (b) comply with all applicable AML/KYC requirements, (c) not use the Platform for any unlawful purpose, and (d) maintain the confidentiality of your account credentials.
5. Risk Disclosure
All investments carry risk, including loss of principal. Emerging-market exposure, commodity price fluctuations, currency movements, and counterparty risk may affect returns. Investors should seek independent financial, legal, and Shariah advisory counsel before committing capital.
6. Shariah Compliance
Fund structures are reviewed and certified by an independent Shariah Supervisory Board. While every effort is made to maintain compliance, NEOM Pay is not liable for divergent interpretations of Islamic finance principles.
7. Intellectual Property
All content, trademarks, logos, and materials on the Platform are the property of NEOM Pay or its licensors. You may not reproduce, distribute, or create derivative works without prior written consent.
8. Limitation of Liability
To the maximum extent permitted by law, NEOM Pay, its directors, officers, employees, and partners shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
9. Governing Law
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC). Disputes shall be resolved through arbitration administered by the DIFC-LCIA Arbitration Centre.
10. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
